Subordination, Non-Disturbance, and Attornment Agreement

On this day, {date}, {Lender} and {Tenant} hereby agree to the following terms with regards to the property of {Property Description} at {Location}:

Subordination

That {Lender}, having provided the landlord with a loan of {amount} for {Property}, has full control over any and all renewals, consolidations, replacements, extensions, and foreclosures over the lien, to the extent of the full loan in addition to any fees, securities, and interests.

Attornment

That {Tenant}, having entered into a {type} lease at the aforementioned property, recognizes and attorns to {Lender} and any of his or her agents, successors, purchaser, transferee, and trustees as the owner and mortgage holder of {Property}. {Tenant} further agrees to recognize any lease alterations or successor landlords that {Lender} introduces to the agreement.

{Tenant} agrees to confirm all repairs, alterations, additions, and modifications to {Property} with {Lender} and the landlord in the form of a written request.

{Tenant} agrees to recognize and obey the terms of the lease regardless of foreclosure on or replacement of the current landlord.

Non-Disturbance

Provided that {Tenant} adheres to the aforementioned conditions, {Lender} agrees not to disturb {Tenant}'s use, possession, access, or enjoyment of {Property}. {Tenant}'s rights shall not be waived, regardless of sale, foreclosure, transfer, or any other action taken to remedy liens, claims, or defaults.
