Clinical Trial Agreement

_____________________________ (hereafter "Institution") and _______________________ (hereafter "Sponsor") hereby agree to the following:

Whereas the Sponsor has created {product} (hereafter "Product") and is interested in {expanding, testing, reconfiguring, etc.} the Product, and the Institution is interested in {education surrounding the Product, research compatible with the Product, medical advancements made possible by the Product, etc.}, the following terms will apply:

The Institution will perform {description of the trial} (hereafter "The Trial"). It will take place exclusively at {location(s)} under the purview of {Trial Leader}. The Trial will begin on {date} and end on {date} unless extended to a further date by both parties.

The Institution will provide {personnel, equipment, funding} for the following components of the Trial: {components}.

The Sponsor will provide {personnel, equipment, funding} for all other aspects of the Trial as outlined as necessary in the agreed-upon parameters of the Trial and its findings.

The Sponsor waives its right of confidentiality concerning the Product and the Trial to the Institution, the Trial Leader, and all overseers, subordinates, contractors, and other personnel. The Institution and its personnel will not release or discuss confidential information from the Trial with outside parties or affiliates.

The Sponsor agrees to indemnify and hold harmless the Institution for any damage or loss of property that occurs from normal Trial procedures that follow all protocol.

The Institution agrees not to discuss, release, or publish the procedures or findings of the Trial until {amount of time} after the Trial ends. The Institution shall publish the procedures or finding of the Trial only with the Sponsor's written permission.

The Sponsor shall pay the Institution {monetary amount} no more than {amount of time} after the Trial ends, regardless of results or findings.

The Sponsor shall not use the Institution's name, image, or likeness in promotional materials nor treat the Institution as an affiliate or means of endorsement.

All materials and data generated prior to the Trial shall belong to {Sponsor/Institution}.

All materials, products, and data generated during the Trial shall belong to {Sponsor/Institution}.

All future products based on the data, products, and findings of the Trial shall belong to {Sponsor/Institution}.
